Investment Policies
Effective Date: 1 January 2025 | Last Updated: 1 May 2025
These Investment Policies govern how investors participate in farm investment opportunities listed on the AgroFund platform. By purchasing investment slots or otherwise committing capital through the Platform, you agree to be bound by these policies in addition to AgroFund’s Terms & Conditions.
1. Investor Eligibility
To invest through AgroFund, you must: (a) be at least 18 years of age; (b) have successfully completed the KYC verification process; (c) have a funded AgroFund wallet; and (d) have accepted AgroFund’s Terms & Conditions and this Investment Policy.
AgroFund reserves the right to restrict access to specific investment listings based on investor classification, jurisdiction, or regulatory requirements. Some high-value listings may be restricted to accredited or institutional investors.
2. KYC and Suitability Assessment
All investors must complete identity verification (government-issued ID and proof of address) before making any investment. In addition, AgroFund may require investors to complete a suitability questionnaire designed to assess their risk appetite, investment experience, and financial objectives. This assessment helps ensure that investors engage with listings appropriate to their profile.
Providing false or misleading information during KYC or suitability assessment is grounds for immediate account suspension and may constitute a criminal offence under applicable law.
3. How Investments Work
Farm listings on AgroFund represent specific agricultural production cycles. Each listing specifies the crop or livestock type, farm location, production start and expected harvest date, total investment slots available, price per slot, projected return range, and any applicable insurance arrangements.
Investors purchase one or more slots in a listing. The investment amount is debited from your AgroFund wallet at the time of purchase confirmation. Once a production cycle commences (typically within 5 business days of a listing reaching its funding target), investments are locked and cannot be withdrawn until harvest payout.
4. Minimum Investment Amounts
The minimum investment per slot is determined individually by each farm listing and is set by AgroFund in consultation with the farm operator. Minimum slot prices generally reflect the cost of a meaningful unit of production (e.g., one acre of a crop cycle or one animal unit in a livestock operation).
There is no maximum on the number of slots an individual investor may purchase in a single listing, subject to slot availability. However, AgroFund strongly recommends that no single listing should represent more than 20% of an investor’s total deployed capital on the Platform.
5. Returns and Payout Process
Returns are calculated based on actual harvest revenue minus agreed operating costs and AgroFund’s platform service fee, proportional to each investor’s ownership percentage in the listing. Projected return ranges on listings are estimates derived from historical yield data, current input costs, and forward commodity prices; they are not guaranteed.
Upon harvest confirmation and proceeds reconciliation, returns are credited to investor wallets within 10 business days. Investors receive a detailed payout report showing gross harvest revenue, operating cost breakdown, platform fee, and net return per slot. Funds credited to the wallet are immediately available for reinvestment or withdrawal.
6. Investment Lock-in Period
Once a production cycle commences, invested capital is locked until the harvest payout date specified in the listing. Early withdrawal is not available during an active production cycle. This policy exists because farm operations require committed capital to function — premature withdrawal would disrupt farm management and harm other investors in the same listing.
In the rare event that a farm listing does not reach its funding target before the funding deadline, all committed capital is returned to investor wallets in full within 3 business days, with no fees charged.
7. Risk Management and Diversification
AgroFund manages investment risk through multiple mechanisms: (a) Farm Vetting — all farm operators are assessed by our agronomic team for production history, land tenure, operator competence, and infrastructure quality before listing; (b) Satellite Monitoring — EOS satellite data is used to monitor crop health and growing conditions throughout the production cycle; (c) Insurance Partnerships — select listings carry crop insurance underwritten by our insurance partners, details of which are disclosed on each listing; (d) Reserve Fund — AgroFund maintains a reserve fund to provide partial coverage on verified crop failures not covered by insurance.
Despite these measures, agricultural investment remains inherently risky. We strongly recommend investors spread their capital across: multiple farm listings; at least two different crop or livestock types; farms in at least two different geographic regions; and a mix of short-cycle (vegetables, leafy crops) and medium-cycle (grains, legumes) investments.
8. Farm Operator Obligations
Farm operators listed on AgroFund are contractually bound to: use invested capital exclusively for the production cycle described in the listing; provide regular production updates through the AgroFund platform (at minimum: post-planting confirmation, mid-season health report, and harvest notification); grant AgroFund’s agronomic team reasonable access to the farm for verification visits; and promptly report any material adverse events (disease outbreak, flooding, theft) that may affect yields.
Operators who breach these obligations are subject to contract penalties and may be permanently delisted from the Platform. AgroFund will communicate any material adverse events to affected investors promptly and initiate appropriate remediation, including reserve fund deployment or insurance claims where applicable.
9. Conflict of Interest Policy
AgroFund staff are prohibited from investing in listings on the Platform. AgroFund does not take equity stakes in listed farm operations. Farm listing fees are flat-rate and not contingent on investment volume, which ensures that our curation decisions are based on quality, not commission. Any potential conflict of interest that arises will be disclosed to relevant investors immediately.
10. Tax Obligations
Investment returns earned through the AgroFund Platform may be subject to income tax, capital gains tax, or withholding tax in your jurisdiction. AgroFund provides transaction records and annual payout summaries to assist with your tax reporting obligations. It is your responsibility to understand and comply with the tax laws of your country. AgroFund does not provide tax advice; please consult a qualified tax professional.
11. Complaints and Dispute Resolution
If you are dissatisfied with any aspect of your investment experience, please contact our investor relations team at [email protected]. We will acknowledge your complaint within 2 business days and aim to resolve it within 20 business days. Unresolved disputes are subject to the arbitration process outlined in our Terms & Conditions.
12. Policy Amendments
AgroFund may update these Investment Policies at any time. Material changes will be communicated to investors by email and by notice on the Platform dashboard at least 14 days before taking effect. Your continued use of the Platform and participation in new listings after the effective date constitutes acceptance of the revised policies.
